1. Quotation Validity
Unless otherwise agreed, all quotations remain valid for 30 calendar days and are subject to raw material market price fluctuations. Prices shall be re-confirmed once the quotation expires.
2. Trade Terms
International commercial terms including FOB, CIF and CFR are available according to customer requirements. All Incoterms apply to the agreed shipment.
3. Payment Terms
Payment shall follow the agreements specified in sales contracts. Irrevocable sight L/C is available for qualified key accounts.
4. Claims & Complaints
Buyers shall raise quality-related claims within the agreed time window after goods arrival. Claims will be processed only upon provision of objective inspection evidence. Remedies will be negotiated for confirmed quality defects attributable to our company. We shall not be liable for losses arising from improper transportation, storage or misuse after goods handover.
5. Risk Allocation
Risk of goods transfers to the Buyer upon completion of loading, in accordance with agreed Incoterms rules.
6. Lead Time & Delivery
Lead time is estimated and stated in the proforma invoice or sales contract. Delivery schedules are subject to raw material availability, production schedule and force majeure events. We reserve the right to adjust delivery time with prior notice to the buyer.
7. Inspection & Acceptance
Buyer may arrange third-party inspection before shipment as agreed. Buyer must inspect goods promptly after receipt. Any visible damage or non-conformity shall be notified within the agreed period.
8. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, war, strikes, government restrictions, raw material supply disruption.
9. Tolerance & Product Specification
Product dimensions, weight and surface finish follow the corresponding industry standard. Normal manufacturing tolerances shall be accepted, unless special tolerances are agreed in writing before order confirmation.
10. Governing Law & Dispute Resolution
This agreement shall be governed by the laws of China. Any dispute arising out of this transaction shall first be settled through friendly negotiation. If negotiation fails, disputes shall be submitted to arbitration or court as agreed in the sales contract.
